Role Overview

As a mid-level associate in their growing New York office, you'll work directly with partners on sophisticated private equity and M&A transactions. You'll have the opportunity to take on substantial responsibility from day one, as the New York team is currently light on mid-level corporate associates. Rather than being siloed into narrow specializations, you'll build a broad transactional skill set across the private equity lifecycle.

At this firm, you will:

  • Take a leading role in structuring, negotiating, drafting, and executing middle-market private equity transactions
  • Work directly with respected partners on complex deals, including matters that recently moved from AmLaw 50 firms
  • Draft and negotiate transaction documents, including purchase agreements, disclosure schedules, and ancillary agreements
  • Handle debt financing aspects of transactions, including leveraged acquisition financings
  • Assist with corporate governance matters for portfolio companies
  • Have opportunities for significant client contact and relationship development early in your career
  • Be a key resource at your level as they continue their strategic growth in New York

Qualifications

  • JD from an accredited law school
  • Active license to practice in at least one U.S. state
  • 3-6 years of sophisticated corporate experience at a top-tier law firm
  • Strong background in private equity, M&A, and/or corporate finance transactions
  • Excellent analytical, drafting, and negotiation skills
  • Ability to manage multiple matters simultaneously in a fast-paced environment
  • Entrepreneurial mindset and willingness to help build their New York presence
